SEC relaxes crowdfunding rules for 10 months

The U.S. Securities and Exchange Commission is implementing a rule that relaxes restrictions on crowdfunding through next February, according to a Federal Register notice published today. The net result of the temporary rule is to accelerate the timeline for a company to access capital through crowdfunding, at the expense of some public access and investor information.

SEC proposes changes to exempt offerings including crowdfunding

The U.S. Securities and Exchange Commission (SEC) recently proposed rule changes that aim to make fundraising easier for new companies, including by expanding crowdfunding’s applicability and allowing for “demo day” communications. The changes target three particular methods of exemptions: Regulation A, Rule 504 of Regulation D, and Regulation Crowdfunding.

New SEC report focuses on recommendations for increasing small business capital formation

A Securities Exchange Commission (SEC) report contains over 20 recommendations for the SEC to consider that would improve small business capital formation. The report, released in April, stems from the 36th annual Government-Business Forum on Small Business Capital Formation – a daylong event held late last year.

A Securities Exchange Commission (SEC) report contains over 20 recommendations for the SEC to consider that would improve small business capital formation. The report, released in April, stems from the 36th annual Government-Business Forum on Small Business Capital Formation – a daylong event held late last year. Its recommendations include issues related to the definition of accredited investors; rules changes that would increase the number of Regulation A+ and Regulation Crowdfunding offerings; and, a revised regulatory regime (based upon the European regulatory regime) to improve peer-to-peer lending.

SEC Adopts Rules to Permit Equity Crowdfunding for Non-Accredited Investors

On April 5, 2012, President Obama signed Jumpstart Our Business Startups Act (JOBS Act) into law with the intent of helping small businesses and startups raise capital through several changes to long-standing securities regulations, including a change that would allow companies to raise equity from both accredited and non-accredited investors through a publicly solicited crowdfunding campaign (Title III of the Jobs Act).

Equity Crowdfunding Reaches Milestone with Announcement of New SEC Rules

Last week, the Securities and Exchange Commission adopted final rules to update and expand Regulation A, an existing exemption from registration for smaller issuers of securities.  The new Regulation A+ will enable smaller companies to offer and sell up to $50 million of securities in a 12-month period, subject to eligibility, disclosure and reporting requirements. On November 15, the Securities Exchange Commission (SEC) will host the "SEC Government-Business Forum on Small Business Capital Formation," an annual forum focused on the capital formation concerns of small business. This year's agenda will focus on the implementation of the Jumpstart Our Business Startups Act (JOBS Act), specifically equity-based crowdfunding regulation. The forum also will look at issues related to capital for small business that were not addressed by the JOBS Act.

The Securities and Exchange Commission (SEC) announced its first proposed rule that will help make equity-based crowdfunding a reality. The proposed rule (Rule 506) will allow for the general solicitation and general advertising of securities. At this point, however, the rule will only apply to accredited investors — an individual with income of more than $200,000 per year or a net worth of over $1 million dollars, excluding the value of the investor's primary residence.

Recent Research: What makes place-based economic development policies work?

Place-based economic development is back near the center of federal policy, from Opportunity Zones to the CHIPS and Science Act. That renewed attention comes with a familiar problem: decades of enterprise zones, tax incentives, infrastructure investments, and other geographically targeted programs have produced results that are hard to summarize cleanly. In a new NBER working paper, Matthew Freedman and David Neumark ask the better question: not simply whether or not these policies work, but under what conditions they might work, for whom, and why. Their review points to a practical conclusion: policy design matters and targeting a distressed community with development-focused financial incentives is rarely enough on its own.

For the civic leaders of Osceola County, the Great Recession of 2008 made clear that they could not base their economy so heavily on travel and tourism. By the time COVID-19 hit in 2020, they knew the steps they had taken to diversify their economy were the right ones. When the Build Back Better Regional Challenge (BBBRC) opportunity arose in 2021, the county and its partners were well-positioned to operationalize the benefits the grant presented to the region and create a trained workforce for a recently attracted semiconductor industry. How did Osceola County get here? There are potential approaches to emulate by more areas of the county dependent on low-wage sectors like tourism or, for that matter, extraction-focused regions subject to “boom and bust.”

The impact of tax incentives on early-stage company investment varies

One persistent question in economic development policy is how incentives impact private sector investment decisions. Recent and ongoing research from Murillo Campello and Guilherme Junqueira of the University of Florida, published in the National Bureau of Economic Research working paper series, explores the impact of the Qualified Small Business Stock (QSBS) program on venture capital risk-taking. The researchers found that the availability of QSBS tax benefits strongly influences venture capital investment behavior, specifically in traditionally structured venture capital funds. They also found no similar behavior among angel or corporate investors, an insight that may hold important program design and policy lessons for the TBED community.
